Terms of Service

By accessing or using the MarineFly platform, website, and services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, you must not access or use the Services.

MarineFly provides a software-as-a-service platform for marine crew travel management, including: • Flight and hotel booking management for crew members • Automated approval workflows for travel requests • Crew manifest and documentation management • Compliance tracking and reporting tools • Integration with global distribution systems (GDS) and enterprise resource planning (ERP) systems We reserve the right to modify, suspend, or discontinue any part of the Services at any time with reasonable notice.

To use certain features of the Services, you must create an account. You agree to: • Provide accurate, current, and complete information during registration • Maintain the security of your account credentials • Notify us immediately of any unauthorized access or breach • Accept responsibility for all activities that occur under your account We may suspend or terminate accounts that violate these Terms or are inactive for an extended period.

Some Services require a paid subscription. By subscribing, you agree to: • Pay all applicable fees as described on our pricing page or in your order form • Authorize us to charge your payment method for recurring subscription fees • Understand that fees are non-refundable except as required by law or as explicitly stated • Accept that subscription fees may change with 30 days' advance notice You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period.

You agree not to: • Use the Services for any illegal or unauthorized purpose • Attempt to gain unauthorized access to any part of the Services • Interfere with or disrupt the integrity or performance of the Services • Transmit any viruses, malware, or harmful code • Scrape, crawl, or otherwise extract data from the Services without authorization • Use the Services to send unsolicited communications • Impersonate any person or entity or misrepresent your affiliation Violation of these rules may result in immediate termination of your access.

All content, features, and functionality of the Services — including software, designs, logos, text, graphics, and trademarks — are owned by MarineFly or its licensors and are protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Services for their intended purpose. You may not: • Copy, modify, or create derivative works of the Services • Reverse engineer, decompile, or disassemble any part of the software • Remove or alter any copyright, trademark, or proprietary notices • Use MarineFly trademarks without prior written consent

You retain ownership of any data, documents, or content you upload to the Services ("Your Content"). By uploading Your Content, you grant MarineFly a limited license to process, store, and display it solely for the purpose of providing the Services. You represent that: • You have the right to upload and share Your Content • Your Content does not violate any applicable laws or third-party rights • Your Content does not contain malicious code or harmful materials MarineFly may remove Your Content if we believe it violates these Terms or applicable law.

Both parties agree to maintain the confidentiality of any proprietary or sensitive information disclosed during the use of the Services. This obligation survives termination of these Terms for a period of three (3) years, or indefinitely for trade secrets.

To the maximum extent permitted by law: • MarineFly shall not be liable for any indirect, incidental, special, consequential, or punitive damages • Our total liability for any claim arising from or relating to the Services shall not exceed the amount you paid us in the twelve (12) months preceding the claim • We do not guarantee that the Services will be uninterrupted, error-free, or completely secure These limitations apply regardless of the legal theory under which a claim is brought.

You agree to indemnify, defend, and hold harmless MarineFly and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from: • Your use of the Services • Your violation of these Terms • Your violation of any third-party rights • Your Content

These Terms remain in effect until terminated. You may terminate at any time by ceasing use of the Services and canceling your subscription. We may terminate or suspend your access immediately if you violate these Terms. Upon termination: • All licenses granted to you under these Terms will cease • You must cease all use of the Services • We may delete Your Content in accordance with our data retention policy • Provisions that by their nature should survive termination will survive

These Terms are governed by the laws of the Republic of Singapore, without regard to its conflict of law principles. Any dispute arising from these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within sixty (60) days, either party may initiate binding arbitration in Singapore under the rules of the Singapore International Arbitration Centre (SIAC).

We may update these Terms from time to time. Material changes will be communicated via email or through the platform at least thirty (30) days before they take effect. Your continued use of the Services after the effective date constitutes acceptance of the revised Terms.
